Grendene, the Brazilian group behind Ipanema and Melissa, has agreed to sell its wholly owned US subsidiary, GGB USA, to Canadian outerwear and footwear company Pajar for US$3.61 million. The deal is less an exit than a hand-off to a partner that already knows the brands \u2014 and wants more of the year.<\/p>\n\n\n\n
Under the agreement, Pajar takes full equity in GGB USA, which continues operating in the United States under the new ownership. GGB USA will keep marketing Grendene’s brands through a commercial arrangement between the two parties, ensuring shelf continuity even as the corporate structure shifts.<\/p>\n\n\n\n
The transaction builds directly on a strategic partnership struck in June 2025, when Grendene named Pajar the exclusive distributor of several of its footwear brands across the US and Canada \u2014 Ipanema, Cartago, Zaxy, Rider, Azaleia and Copacabana \u2014 and granted rights to sell Melissa through Pajar’s Canadian network. Conversations about going further began, in Pajar president Michel Golbert’s words, once “we were very successful with everything.” One thing led to another, and the US deal was signed.<\/p>\n\n\n\n
For Grendene, the logic is stated plainly: strengthen its North American presence “through local partners with market expertise and commercial execution capabilities,” while seeking greater operational efficiency, a leaner organisation and sharper focus on brand and product management. In practice, that means letting a partner who lives in the market run the US machine, while Grendene concentrates on what it does best \u2014 design, manufacturing and brand.<\/p>\n\n\n\n
Pajar’s roots are in outerwear and cold-weather product, which makes the GGB acquisition a natural extension of its calendar. Owning a warm-weather footwear business lets the Canadian group “expand its year-round business by offering more products for spring and summer” \u2014 smoothing the seasonal troughs that outerwear specialists know all too well. The Melissa and Ipanema brands, with their design-forward, colourful identity, slot neatly into that gap.<\/p>\n\n\n\n
For context, Pajar also acquired the Cougar brand two years ago, so the GGB purchase fits a pattern of assembling a broader footwear wardrobe rather than a single season’s coat.<\/p>\n\n\n\n
This is a tidy illustration of how global footwear brands are rethinking geographic control. Rather than carrying the full cost of a foreign subsidiary through thin quarters, Grendene converts a distribution relationship into an ownership transfer that keeps brands visible and locally run. Pajar, in turn, buys instant warm-weather scale and a design-led portfolio it already proved it could sell.<\/p>\n\n\n\n
Both sides get what the other offers. Grendene keeps brand presence in its second-largest kind of market without the overhead; Pajar gets a year-round footprint and a creative Brazilian catalogue. For GGB USA’s customers, the change should be invisible \u2014 except, perhaps, in how much more of the Brazilian summer shows up on North American shelves.<\/p>\n\n\n\n
