Wendel’s stake in Stahl took two decades — and the patience paid off spectacularly. The French investment house recently exited the leather and specialty coatings group, walking away with €1.14 billion in net proceeds after selling the company to Henkel for €2.1 billion. It is a case study in holding power, operational improvement and the quiet value hidden inside leather chemicals.

The entry and the maths

Wendel first invested €171 million in Stahl in 2006. In 2018 it added a further €50 million to acquire an additional 4.8% stake from Clariant, bringing its total invested capital to €221 million. Twenty years after the initial cheque, the exit delivered €1.14 billion in net proceeds.

The returns are eye-catching: Wendel reported a net investment multiple of 6.3x and an annualised internal rate of return of more than 15% since 2006. Crucially, that figure understates the total value captured. Between 2006 and 2025, Wendel also received €427 million in cash distributions from Stahl before the final sale — income that sits on top of the capital gain.

How the business transformed

When Wendel bought in, Stahl generated roughly €316 million in revenue and €44 million in EBITDA, an EBITDA margin near 13.9%. By 2024, revenue had grown to €930 million and EBITDA reached €181 million, lifting the margin to about 19.5%. That is roughly three times the revenue, four times the profit, and a 550-basis-point improvement in profitability — a textbook example of margin expansion compounding over time.

A large share of that growth came through acquisitions. Stahl bought Clariant Leather Services in 2014, BASF Leather Chemicals in 2017, ICP Industrial Solutions Group in 2023 and Weilburger Graphics in 2024. Each deal widened the portfolio and deepened the group’s position in specialty coatings and surface solutions.

The strategic carve-out

Notably, Stahl also separated its wet-end leather chemicals business into a standalone company now called Muno, which Wendel still majority owns. That move left Stahl focused purely on specialty coatings — a cleaner, higher-margin proposition that helped justify Henkel’s €2.1 billion price tag. At the time of sale, Stahl employed around 1,800 people globally and generated adjusted sales of €725 million in fiscal year 2025.

The carve-out is the kind of quiet restructuring that creates value without headlines. By spinning off the more cyclical wet-end leather chemicals into Muno, Wendel sharpened Stahl’s story for a strategic buyer while retaining upside in the separated business.

Why Henkel wanted it

Henkel’s acquisition of Stahl fits the German group’s strategy of strengthening its adhesive technologies and specialty coatings franchises. For Henkel, Stahl brought a global leather and coatings footprint, a strong customer base and a portfolio of sustainable surface solutions increasingly demanded by brands under tightening environmental scrutiny.

For the leather industry, ownership of a critical chemical supplier shifting from a patient financial owner to a strategic industrial one is meaningful. It signals continued investment in leather-chemical innovation at a moment when the sector faces pressure from both regulation and alternative materials.

The lesson

Wendel’s Stahl saga is a reminder that the most durable returns in this industry often come not from quick flips but from holding well-run, consolidating businesses through cycles — and from the discipline to carve, improve and ultimately sell at the right moment. A €221 million bet, compounded with acquisitions, margin gains and patient capital, became a €1.14 billion payday. Few leather-industry stories in 2026 tell that kind of long-game better.

Source: Leather News

Wendel turned a €221M Stahl investment into €1.14B in net proceeds after Henkel’s €2.1B buyout.
